Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing or using the services offered by TradeAxis Systems ("TradeAxis," "we," "us," or "our")—including our TradingView invite‑only indicators/strategies, related materials, and the website tradeaxis.systems (collectively, the "Services")—you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

Eligibility & Territory

The Services are for individuals 18+. We sell globally except in the United Kingdom and the European Economic Area/Switzerland. We may decline or refund transactions from those regions. You also represent that you are not located in a U.S. OFAC‑sanctioned jurisdiction and are not on any U.S. restricted list.

Third‑Party Terms

Use of TradingView and Stripe is governed by their respective terms and policies.

Governing Law & Venue

These Terms and any dispute or claim arising out of or relating to them are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑laws principles. You and TradeAxis consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware, USA. Mandatory consumer‑protection rights in your country (if any) remain unaffected.

2. Trading Risk Disclaimer

Trading involves substantial risk of loss and is not suitable for all investors. Assess whether trading is appropriate given your experience, objectives, and financial resources. Our indicators/strategies are tools for technical analysis; they do not guarantee results, provide investment advice, or execute trades. Past performance (including backtests) is not indicative of future results. You control all trade decisions, including entries, stop‑loss, take‑profit, position size, and risk.

3. Service Description

TradeAxis provides TradingView invite‑only indicators/strategies that identify trendline breakout entries and can display TP/SL levels, plus user guides and email support.

Alerts‑only by default

We do not place orders or provide brokerage.

Optional auto‑execution via third parties

If you connect alerts to third‑party services for automation, you do so at your discretion and risk; we do not operate, endorse, or control those services.

Access delivery

After purchase, access is granted to the TradingView username you provide and may be revoked upon non‑payment or breach.

Dependencies

TradingView, Stripe, data feeds, and internet service are outside our control; outages or changes may affect features. We may update, modify, or discontinue features to maintain compatibility or improve performance.

Availability (lifetime)

A "lifetime" license provides ongoing access while the product/service is offered. We may update, modify, or discontinue features to maintain compatibility, security, or compliance.

5. Intellectual Property

All indicators, algorithms, Pine code (including obfuscated/protected components), documentation, branding, and other content are the exclusive property of TradeAxis or its licensors and are protected by law. We grant you a limited, revocable, non‑exclusive, non‑transferable license to use the purchased indicator/strategy on TradingView for your personal trading. No other rights are granted. We may use technical measures (e.g., watermarks) to protect our IP.

6. Limitation of Liability; Warranty Disclaimer

The Services are provided "as is" and "as available." To the maximum extent permitted by law, TradeAxis, its founders, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including trading losses, lost profits, data loss, or business interruption, arising from or related to your use of the Services, third‑party outages, or reliance on alerts/signals. Nothing in these Terms excludes liability that cannot legally be excluded.

Warranty Disclaimer

To the fullest extent permitted by law, the Services are provided without warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. Mandatory consumer‑protection rights (if any) remain unaffected.

Because access to digital content is granted immediately after purchase, all sales are final.

If you purchase a subscription in the future, renewals continue until canceled; cancellations take effect at the end of the current billing period and are not prorated or refunded.

Where required, taxes (e.g., VAT/GST) are collected at checkout.

8. Termination

We may suspend or terminate access, without prior notice, if we believe you violated these Terms, engaged in fraud/abuse, failed to pay, or posed a security or IP risk. Upon termination, your license ends and you must cease use. Sections intended to survive (e.g., IP, disclaimers, limitation of liability) shall survive termination.

9. Changes to Terms

We may modify these Terms at any time. Changes take effect upon posting an updated version with the "Last Updated" date above. Your continued use after changes become effective constitutes acceptance of the revised Terms.

10. General

Severability & Waiver

If any provision of these Terms is unenforceable, the remainder remains in effect; our failure to enforce a provision is not a waiver.

Assignment

You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale.

Entire Agreement

These Terms are the entire agreement regarding the Services and supersede prior understandings.
